Terms of Service — Lastslate

1. The agreement

By downloading, installing, or using Lastslate (the "Software") or any related paid service, you agree to these Terms of Service ("Terms") with Uniqlabs LLC ("Uniqlabs", "the company"). If you do not agree, do not install or use the Software.

2. The short version

Install it on Macs you own or control. One license, used by you.
Your scripts are yours. Uniqlabs claims no ownership of anything you write.
Paid tiers renew automatically until cancelled. Cancel any time from your account; access continues until the end of the paid period.
The Software is provided "as is." The company cannot promise it is bug-free, and your scripts are your responsibility to back up.
Don't break the law with it, and don't try to break the service.

3. License to use the Software

Uniqlabs grants you a personal, non-exclusive, non-transferable, revocable license to install and run the Software on macOS devices you own or control, for your own writing.

You may not, and may not permit anyone else to:

Sell, sublicense, rent, or redistribute the Software;
Reverse engineer, decompile, or disassemble it, except as permitted by applicable law;
Remove or alter any copyright, trademark, or proprietary notices;
Use the Software to build a directly competing product.

4. Your account

Some features require an account. You are responsible for the security of your sign-in credentials and for any activity on your account. Notify the company at [email protected] if you suspect unauthorized use.

5. Subscriptions, billing, and refunds

5.1 Tiers and prices

The current tiers are Free, Hobbyist, and Pro. Prices and what each tier includes are shown on the pricing page; the version in effect for your subscription is the one in force at the time you subscribe or renew.

5.2 Automatic renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current rate, until cancelled. You authorize Uniqlabs to charge your payment method on each renewal.

5.3 Cancellation

You may cancel at any time from your account. Cancellation takes effect at the end of the current paid period; the subscription is not prorated. Free tier access continues after cancellation.

5.4 Refunds

Subscriptions are not refundable except where required by law. If you believe a charge was an error, email [email protected] within 30 days and the company will review in good faith.

5.5 Price changes

The company may change prices for future billing periods on at least 30 days' notice. If you do not agree to the new price, cancel before the next renewal.

6. Your content stays yours

You retain all rights to the scripts, notes, and other content you create with Lastslate ("Your Content"). Uniqlabs claims no ownership of Your Content.

To operate the service, you grant the company a limited license to host, store, transmit, encrypt, and (when you invoke an AI action) send the relevant excerpts of Your Content to AI providers strictly to deliver the response back to you. This license exists only to make the features you turn on work — it does not allow training, advertising, or any other use of Your Content.

7. AI features

Pro-tier AI features generate suggestions and analysis. AI output may be wrong, misleading, or unsuitable for a given context. Treat it as a collaborator's note, not a final answer. You are responsible for reviewing AI output before relying on it, and for any decisions you make based on it.

No training on your content. The company contracts with AI providers that prohibit using your prompts or script excerpts to train any model.

8. Acceptable use

You agree not to use Lastslate to:

Violate any law or the rights of others, including copyright;
Send malicious code, abuse the service, or interfere with other users;
Attempt to gain unauthorized access to any part of the service;
Resell, rebrand, or expose the service to third parties as your own.

Uniqlabs may suspend or terminate access for serious or repeated violations.

9. Backups

Lastslate is local-first. You are responsible for keeping your own backups of Your Content. Paid cloud backup is a convenience; it is not a substitute for your own backup strategy, and the company is not liable for loss of content.

10. Termination

You may stop using the Software at any time. The company may suspend or terminate your access if you materially breach these Terms or if continued service is no longer feasible. On termination, your license to use the Software ends; sections of these Terms that by their nature should survive (ownership, disclaimers, liability limits, governing law) will survive.

11. Disclaimers

THE SOFTWARE AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. UNIQLABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIQLABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR CONTENT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. THE COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID UNIQLABS IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

13. Indemnification

You agree to indemnify and hold Uniqlabs LLC harmless from claims and expenses arising out of your misuse of the Software, your violation of these Terms, or your infringement of any third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there — except where applicable consumer-protection law gives you the right to bring a claim in your local jurisdiction, in which case that right is preserved.

15. Changes to these Terms

The company may update these Terms. Material changes will be flagged by an updated "Last updated" date and, where appropriate, an in-app or email notice. Continued use after a change takes effect means you accept the revised Terms.
